Terms and Conditions

These Terms and Conditions establish the agreed-upon terms between ACCLIMATE HR CONSULTING LLC, a Washington State limited liability company also referred to as the "Company," "we," "us," "they," or "our," and any individual or entity purchasing, downloading, accessing, or otherwise engaging ACCLIMATE HR CONSULTING LLC for any services, products, resources, subscriptions, templates, downloads, documents, purchases, materials, consulting support, career document services, or other offerings furnished by ACCLIMATE HR CONSULTING LLC, also referred to as "Client," "Purchaser," "you," or "your." ACCLIMATE HR CONSULTING LLC and Client may each be referred to as a "party" and collectively as the "parties." Clients may engage ACCLIMATE HR CONSULTING LLC in one or more ways, including through HR Subscription Packages, HR Resources, Career Document Services, Hourly Consulting Services, or other services, products, documents, templates, downloads, purchases, materials, resources, or consulting support furnished by ACCLIMATE HR CONSULTING LLC. These Terms apply to all such engagements except where a specific provision applies only to a particular service type or where an individual proposal, invoice, purchase description, subscription package, website description, or written agreement expressly provides additional or different terms.

Services and Client Responsibilities

For HR Subscription Packages, the Client engages ACCLIMATE HR CONSULTING LLC to provide human resources consulting services as specified under the chosen subscription on the ACCLIMATE HR CONSULTING LLC Subscription Services Website. The engagement term starts on the subscription purchase date. For HR Resources, the Client may purchase, download, access, or employ products, resources, templates, downloads, documents, purchases, materials, website products, and other resources furnished by ACCLIMATE HR CONSULTING LLC, collectively referred to as "HR Resources." For Career Document Services, upon purchase, the Client engages ACCLIMATE HR CONSULTING LLC for career document writing services as described in the applicable quote, agreement or service description. For Hourly Consulting Services, the Client engages ACCLIMATE HR CONSULTING LLC for human resources consulting services as described in individual written quotes and proposals. Proposals, in writing and mutually agreed upon, may detail the services, billing rates, direct expenses, deliverables, timelines, and any additional terms. Changes to proposals require written amendments detailing modifications or additions.

Fees and Payment

Fees for HR Subscription Packages, HR Resources, Career Document Services, Hourly Consulting Services, and any other services, products, subscriptions, resources, documents, templates, downloads, purchases, materials, consulting support, or offerings furnished by ACCLIMATE HR CONSULTING LLC are due upon service or invoice unless otherwise stated in an applicable proposal, quote, purchase description, subscription package, website description, or written agreement. Fees for HR Subscription Packages are charged automatically on a recurring monthly basis to the Client’s payment method on file, in accordance with the selected subscription package, unless otherwise stated. The Client authorizes ACCLIMATE HR CONSULTING LLC to charge the Client’s payment method for recurring subscription fees and any applicable subscription-related charges until the subscription is canceled, terminated, downgraded, upgraded, or otherwise modified under these Terms or another applicable written agreement. Fees for Hourly Consulting Services and direct expenses are borne by the Client and billed as provided in the applicable proposal, quote, invoice, or written agreement, including through bi-monthly invoices from ACCLIMATE HR CONSULTING LLC unless otherwise agreed. Fees for Career Document Services reflect the value ACCLIMATE HR CONSULTING LLC offers in terms of expertise, time, project complexity, client intake, content creation, design, layout, and proofreading. The Client’s payment obligation begins from the service purchase date, service date, invoice date, or recurring subscription billing date, as applicable. Work may commence after payment, invoice issuance, recurring subscription billing, or other agreed billing arrangement, and ACCLIMATE HR CONSULTING LLC may halt, suspend, delay, or discontinue further services due to delayed, missed, late, unpaid, declined, failed, or delinquent payments. Delayed, missed, late, unpaid, declined, failed, or delinquent payments for any HR Subscription Package, HR Resource, Career Document Service, Hourly Consulting Service, or other service, product, subscription, resource, document, template, download, purchase, material, consulting support, or offering may accrue interest at 20% per month, where permitted by law, and may lead to other service-related consequences. Additional services outside the purchased service, package, subscription, HR Resource, proposal, quote, invoice, or written agreement will be separately invoiced. Since ACCLIMATE HR CONSULTING LLC’s HR Resources are electronic, ACCLIMATE HR CONSULTING LLC cannot accept refunds for HR Resources because there is no way to return the item. For Career Document Services, no refunds are issued after three days of service purchase. Clients may contact ACCLIMATE HR CONSULTING LLC with concerns, and ACCLIMATE HR CONSULTING LLC may, in its discretion, attempt to resolve the concern.

Unless canceled or terminated under these Terms, HR Subscription Packages continue on a recurring monthly basis and are charged monthly to the Client’s payment method on file until canceled. ACCLIMATE HR CONSULTING LLC may cancel a subscription at any time. The Client may cancel, downgrade, or upgrade a subscription at any time by sending cancellation, downgrade, or upgrade notifications to info@acclimatehr.com. For Hourly Consulting Services, the agreement duration commences on the agreement date and lasts until the specified end date unless terminated per its provisions. Extensions require written notice 30 days before the term’s expiration unless otherwise agreed. Early terminations may occur under certain breach conditions or with a 30-day notice. If an Hourly Consulting Services engagement is terminated, all pending payments become immediately due. For Career Document Services, either party may terminate the agreement immediately with written notice, subject to the refund limitations stated in these Terms. If draft documents are not revised by the Client within 14 days, final documents may be issued and billed accordingly. For Career Document Services, three revision rounds are allowed unless otherwise stated, and ACCLIMATE HR CONSULTING LLC may place projects on hold for unresponsive clients beyond 30 days and may impose a $100 fee if responses occur after 90 days. ACCLIMATE HR CONSULTING LLC reserves the right to regulate service content and may end the service if deemed necessary. Post-termination, obligations concerning intellectual property, confidentiality, non-disclosure, payment, indemnification, limitation of liability, disclaimers, and other provisions intended to survive persist for both parties.

The Client is responsible for providing timely, complete, and accurate information needed for ACCLIMATE HR CONSULTING LLC to provide the requested services, HR Resources, documents, or deliverables. The Client is solely responsible for implementation, final decisions, workplace actions, employee communications, compliance decisions, and use of any materials, recommendations, documents, or deliverables. Clients should make themselves available for timely queries, with project delays possible for tardy information provision. Clients must verify document accuracy, including all facts, employment information, career information, education information, organizational information, and final uses. ACCLIMATE HR CONSULTING LLC is not liable for inaccuracies supplied by the Client, inaccuracies not identified by the Client during review, or consequent damages. Communications with ACCLIMATE HR CONSULTING LLC may occur via email, phone, Zoom, or other virtual meetings, and services are delivered through email, phone, or virtual meetings, excluding in-person options unless otherwise agreed in writing. ACCLIMATE HR CONSULTING LLC may charge an hourly fee or rescheduling fee for repeated last-minute cancellations, missed meetings, or delays caused by the Client. All formal communications are exclusively between ACCLIMATE HR CONSULTING LLC and the Client. Clients might need to register on ACCLIMATE HR CONSULTING LLC’s website and are responsible for maintaining password confidentiality. For Career Document Services, the Client provides career and education data, preferably within seven days, through designated forms or other requested methods. ACCLIMATE HR CONSULTING LLC will make reasonable efforts to prepare and deliver Career Documents within the timeline specified or otherwise communicated, unless delayed by incomplete, inaccurate, or tardy information provision, workload, illness, technology issues, or other circumstances affecting delivery.

Confidentiality and Technology

ACCLIMATE HR CONSULTING LLC recognizes the importance of client confidentiality and the protection of sensitive, confidential, or personal data pertaining to the Client and, where applicable, the Client’s employees. ACCLIMATE HR CONSULTING LLC will make reasonable efforts to maintain confidentiality and safeguard such information, including by using reasonable security practices. However, the Client acknowledges that ACCLIMATE HR CONSULTING LLC cannot guarantee absolute confidentiality, privacy, data security, secrecy, non-disclosure, or protection from unauthorized access, alteration, disclosure, loss, misuse, destruction, cybersecurity incidents, third-party actions, technology failures, platform limitations, legal obligations, or events outside ACCLIMATE HR CONSULTING LLC’s control. The Client further acknowledges that information may be shared with or processed by third-party service providers, technology platforms, contractors, vendors, or other parties as reasonably necessary to deliver services or operate ACCLIMATE HR CONSULTING LLC’s business, and such third parties may be subject to their own privacy, security, confidentiality, and data-handling practices. ACCLIMATE HR CONSULTING LLC will attempt to maintain confidentiality after termination where reasonably applicable, but does not guarantee confidentiality after termination or in circumstances beyond its control. The Client is also responsible for maintaining confidentiality where applicable, including protecting account access, passwords, shared documents, and information transmitted to or from ACCLIMATE HR CONSULTING LLC. The Client’s association with ACCLIMATE HR CONSULTING LLC may be used for promotional purposes unless confidentiality is explicitly requested in writing or otherwise agreed in writing.

ACCLIMATE HR CONSULTING LLC may use artificial intelligence tools and platforms to assist in developing, supporting, and delivering the services and materials covered by these Terms. These tools may include, but are not limited to, AI-powered writing, research, analysis, and workflow automation platforms. ACCLIMATE HR CONSULTING LLC may use tools it reasonably believes are appropriate for the engagement. While ACCLIMATE HR CONSULTING LLC takes reasonable precautions in selecting and using AI tools, the Client acknowledges that no technology platform is entirely free from risk. All AI platforms, cloud-based systems, and other third-party technologies may be subject to cybersecurity incidents, unauthorized access, data breaches, hallucinations or inaccurate output, changes in functionality or vendor policy, or other events beyond ACCLIMATE HR CONSULTING LLC’s control. The Client further acknowledges that AI technology is rapidly evolving, and that industry standards, regulatory requirements, and the capabilities and limitations of AI tools may change over time. ACCLIMATE HR CONSULTING LLC does not warrant or guarantee that any AI tool or technology platform will be error-free, uninterrupted, or completely secure. The Client acknowledges that information the Client provides to ACCLIMATE HR CONSULTING LLC may be processed by AI tools in the course of delivering the services and materials covered by these Terms. The Client agrees to provide only the information reasonably needed for the requested engagement. If the Client has specific restrictions on the use of AI tools, the Client must notify ACCLIMATE HR CONSULTING LLC in writing prior to or at the time of purchase or execution of the agreement. Absent such written notice, the Client consents to the use of AI tools as described. In addition to AI tools selected directly, the Client acknowledges that certain third-party platforms used to deliver services under an agreement, including but not limited to payroll, benefits administration, applicant tracking, time and attendance, and human resources information systems, may independently incorporate AI features into their products. These features are developed and controlled by their respective platform providers and are subject to each provider’s own terms of service, privacy policies, and security standards. ACCLIMATE HR CONSULTING LLC does not control the development, deployment, or data handling practices of AI features embedded within third-party platforms. The Client acknowledges that the use of third-party platforms with embedded AI capabilities is inherent to modern human resources services delivery, and the Client consents to the incidental use of such features as part of the services provided under an engagement, and knowingly accepts and assumes the associated risks, including risks related to data processing, storage, and security. ACCLIMATE HR CONSULTING LLC is not responsible for the availability, accuracy, security, functionality, errors, outages, data practices, or failures of third-party platforms, vendors, payment processors, websites, software, or systems. The Client acknowledges that AI technology, along with industry standards and regulatory requirements, is rapidly evolving, and that ACCLIMATE HR CONSULTING LLC may update the AI tools and practices it uses over time.

Disclaimers and Liability

ACCLIMATE HR CONSULTING LLC provides services in good faith, with no legal advice or legal accuracy warranty. HR Resources serve as preliminary references and are stocked with generalized content, designed to be adapted to the unique characteristics of the Client’s organization, in alignment with prevailing federal, state, and local laws, ordinances, regulatory mandates, and union stipulations. The provided HR Resources should be perceived as overarching guidelines, not as legal advice. While ACCLIMATE HR CONSULTING LLC may attempt to provide current and accurate information in its HR Resources, ACCLIMATE HR CONSULTING LLC does not function as a legal institution. As such, ACCLIMATE HR CONSULTING LLC cannot promise absolute accuracy, relevancy, legality, completeness, suitability, or access to the contents or materials covered by these Terms for specific intents. By deciding to access, employ, or rely on anything covered by these Terms, the Client comprehends and accedes to this disclaimer, signifying that use is based on personal judgment and accompanied by inherent risks. The Client also accepts that ACCLIMATE HR CONSULTING LLC bears no responsibility for any potential consequences, losses, damages, liabilities, costs, or expenses that might ensue from the Client’s utilization, access, reliance, modification, implementation, or use of anything covered by these Terms. ACCLIMATE HR CONSULTING LLC emphasizes the importance of conferring with a legal expert prior to relying on anything covered by these Terms or making decisions influenced by such content. ACCLIMATE HR CONSULTING LLC does not guarantee that any policy, document, recommendation, template, HR Resource, or other material will ensure legal compliance or prevent claims, disputes, penalties, audits, complaints, or litigation. During an engagement, ACCLIMATE HR CONSULTING LLC may offer industry-informed guidance, editing suggestions, and recommendations. Any Client deviations from this guidance, suggestions, or recommendations are the Client’s sole responsibility. Discrepancies between the Client’s changes and industry norms may be advised by ACCLIMATE HR CONSULTING LLC, and ACCLIMATE HR CONSULTING LLC will not be responsible for Client-initiated changes that contradict ACCLIMATE HR CONSULTING LLC’s recommendations or industry standards.

ACCLIMATE HR CONSULTING LLC does not guarantee the specifics, results, outcomes, or success of any services, materials, recommendations, or deliverables covered by these Terms. ACCLIMATE HR CONSULTING LLC, while striving to support client satisfaction, cannot guarantee specific career outcomes, employment outcomes, compliance outcomes, business outcomes, legal outcomes, or other results. Liabilities for incorrect, misleading, incomplete, outdated, or inaccurate materials are not borne by ACCLIMATE HR CONSULTING LLC. ACCLIMATE HR CONSULTING LLC’s products and services come with no warranties or guarantees and are offered "as is." Damages from these Terms are not ACCLIMATE HR CONSULTING LLC’s responsibility to the fullest extent permitted by law. To the fullest extent permitted by law, ACCLIMATE HR CONSULTING LLC shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, even if advised of the possibility of such damages. To the fullest extent permitted by law, ACCLIMATE HR CONSULTING LLC’s total liability arising out of or related to these Terms or any covered engagement shall not exceed the amounts actually paid by the Client to ACCLIMATE HR CONSULTING LLC for the specific service giving rise to the claim. The Client agrees to indemnify, defend, and hold ACCLIMATE HR CONSULTING LLC harmless against third-party claims arising from such damages or arising from or related to the Client’s access to, purchase of, reliance on, modification of, implementation of, distribution of, or use of anything covered by these Terms, Client-provided information, Client changes, Client implementation, final decisions, workplace actions, employee communications, compliance decisions, or Client deviations from ACCLIMATE HR CONSULTING LLC’s advice or recommendations.

Ownership, Changes, and Governing Terms

The content of the ACCLIMATE HR CONSULTING LLC websites is copyrighted and protected by laws in the United States and other countries. All materials, unless stated otherwise, under ACCLIMATE HR CONSULTING LLC’s purview are copyrighted: Copyright © 2021 ACCLIMATE HR CONSULTING LLC. The works are shielded by copyright and intellectual property regulations, both domestically in the United States and globally. Direct purchasers, clients, or visitors are prohibited from duplicating or disseminating any segment of ACCLIMATE HR CONSULTING LLC’s offerings, barring the application of purchased products in their organizational frameworks as intended. Intellectual property rights are recognized and protected under these Terms. For Career Document Services, custom creations for clients, upon full payment, have copyrights transferred to the Client unless otherwise stated. Post-termination obligations concerning intellectual property persist for both parties.

ACCLIMATE HR CONSULTING LLC reserves the right to modify these Terms at any time and to change, remove, discontinue, update, or alter the services, materials, website content, features, information, software, offerings, or notices covered by these Terms. Continued use of anything covered by these Terms after the date of any modification shall be deemed acceptance of the modified Terms. Additional or different terms, conditions, and notices may apply to specific features, materials, information, software, products, services, subscriptions, HR Resources, or offerings provided through the ACCLIMATE HR CONSULTING LLC website or otherwise agreed in writing. In the event of any conflict, such additional or different terms, conditions, notices, changes, or specific terms will prevail over these Terms and Conditions to the extent of the conflict. Persisting in the use of anything covered by these Terms after alterations implies acquiescence to the updated terms.

These Terms define the independent relationship between ACCLIMATE HR CONSULTING LLC and the Client and reflect their mutual understanding. Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or attorney-client relationship between the parties. These Terms are governed by Washington State laws. In case of conflicts, invalidity, unlawfulness, or unenforceability, only the violating or unenforceable terms or provisions may be limited, modified, or nullified, and the remaining terms will continue in effect. Any related disputes will be addressed in Seattle, King County courts, unless otherwise required by applicable law.
